Franchisee Association has several active committees to support many
of our member needs.

| Consists of
the officers and shall make decisions and take actions on behalf of the
Board between meetings. The Chairman shall call meetings of the
Executive Committee. |

| This Committee reviews
contracts between the DFA and our vendors and interacts with corporate
on legal issues that affect the overall franchisee membership. In
addition, this committee works to create and implement insurance
benefits for DFA members |

The Marketing committee participates at quarterly Brand team meetings
in Spartanburg where advertising and marketing ideas are discussed and
decisions made for the Brand. This committee also participates in
conference calls on a regular basis with corporate marketing regarding
time sensitive issues. |

This committee works to ensure DFA members
receive information from the Board on a regular basis on topics that
affect our community. At this time, that communication is through the
DFA Website - Dennys.org (including a member's only section, Bulletin
Board and Buyer’s Guide), our newsletter - DFA Forum, and our DFA
Directory. |

The Operations committee
coordinates activities and input to corporate leadership from the DFA on
operational matters and is proactive in identifying and resolving
critical operational (store level) issues which affect the Brand, its
attribute ratings, and its ability to grow profitable sales. |

distribution of food and supplies for the brand along with aggressively
pursuing new opportunities or programs with a variety of vendors to
ensure the best value and product for the brand. |

The Purchasing committee

in regard to remodels. The committee is involved in design and

The Special Events committee is responsible for
cost effective, world class DFA member special

A consultant, CEO Partners, has been engaged
to assist the DFA Board in the formation of the
purchasing co-op. CEO Partners has extensive
experience with restaurant brands in the
formation of purchasing co-ops and will be a
critical resource to the DFA Board. The
objective of the DFA Board is to achieve the
highest possible level of efficiency for our
integrated supply chain management. |
